Chief Financial Officer

Our client, a growing, profitable middle-market Washington, DC area based private equity firm, is actively recruiting for its first full-time Chief Financial Officer.  This person will be a one-person dept., with the help and support from firm's fund administrator.  This position will be located in Arlington, VA at the corporate office.

VP Overview:
Reporting to the Managing Directors, the CFO is responsible for all firm accounting, tax, financial reporting, investor reporting, human resources, and office operations for the firm. The individual will additionally manage external relationships of the firm including banking, audit, tax, fund administrator, insurance broker, and compliance consultant. The individual will be responsible for creating and maintaining all financial policies and procedures of the firm.  The individual will have a key role with investment funding, reporting of portfolio company performance, reviewing portfolio company valuations, investor related data requests and firm distributions. It is expected that the individual will also serve as Compliance Lead, including overall responsibility for the firm’s compliance with the SEC’s regulations governing registered investment advisors. 

CFO Responsibilities:
  • Foster a proactive, rather than reactive, orientation in the financial and compliance areas, recommending and implementing solutions to company issues
  • Work closely with external parties including fund administrators, auditors and tax professionals, and others to ensure accurate, timely and cost-effective audits, reporting for the funds, management company and tax compliance and delivery of K-1s to investors
  • Ensure compliance with the Fund Partnership agreement(s) and GAAP requirements
  • Ensure that effective internal controls are in place and documented to ensure protection of assets, compliance with GAAP and applicable federal, state and local regulations
  • Manage treasury activities, including credit lines, budgeting, monitoring cash balances, vendor payment, investment funding, and distributions, etc.
  • Manage expense reports and review portfolio company invoices prepared by fund administrator
  • Ensure accuracy of expense allocations to the various funds
  • Assist in the maintenance of Limited Partnership relationships and support communications regarding investor meetings (e.g. annual meeting and quarterly LPAC), due diligence and fundraising data requests, distributions and other LP communications
  • Coordinate preparation and review of quarterly valuations for all portfolio companies, in accordance with GAAP; participate in monitoring all investments and reporting on performance
  • Ownership of compliance requirements that meet the needs of the SEC. This includes developing a comprehensive understanding of how the SEC’s regulations apply to firm, and personally reviewing and approving all filings with the Securities and Exchange Commission
  • Maintain the firm’s compliance manual and code of ethics as needed in collaboration with outside SEC compliance firm (outside consultant still to be selected)
  • Lead the firm’s training program covering all regulatory aspects of being employed by a Registered Investment Advisor
  • Manage the various firm administrative and office needs, including human resources, IT, facilities, office lease, insurance, payroll, benefits, and office management
  • Oversee execution of compliance activities such as employee stock trade monitoring
Qualifications/Preferences:
  • 10+ years of experience
  • Accounting or Finance (MA/MBA desirable)
  • Certified Public Accountant is highly preferred
  • Strong knowledge of SEC rules and regulations
  • Prior SEC compliance management experience at a financial institution
  • Strong knowledge of fund/partnership accounting is required; private equity fund accounting experience preferred
  • Proven track record of accounting, controls, reporting and fund knowledge
  • Demonstrated resourcefulness in setting priorities, proposing new ways of creating efficiencies and the ability to understand and analyze changes in the business model
  • Must carry herself/himself with integrity, credibility and a commitment to success
  • Demonstrated careful attention to detail, review of own work, and willingness to be a hands-on member of the team
Compensation Overview:
  • Dependent on experience, this position offers a base salary of $250,000 - $300,000
